1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "Band") and BandGravy ("BandGravy," "we," "our," or "us"). By creating an account, accessing, or using bandgravy.com, the BandGravy Bandspace, hosted band pages, song menus, or embedded widgets (collectively, the "Platform"), you agree to be bound by these Terms.

2. Description of Services & Accounts

BandGravy provides software tools for working musicians, bands, DJs, and live performers, including interactive fan song menus, live audience tipping, event scheduling, Google Calendar synchronization, booking pipelines, venue relationship management, and website embed widgets.

  • Account Security: You are responsible for safeguarding your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access.
  • Team Members: Account owners may invite bandmates or managers with defined permission roles. The account owner remains responsible for the actions of invited team members.

3. Subscription Plans & Billing

BandGravy offers subscription tiers (including Soundcheck, Green Room, and Headliner) with distinct feature sets, usage limits, and platform fee structures as described on our Pricing Page.

  • Recurring Billing: Paid subscription plans are billed in advance on a recurring monthly cycle via Stripe.
  • Cancellation: You may cancel your subscription at any time through Plan & Billing in your Bandspace. Cancellation takes effect at the end of the current paid billing period.
  • Upgrades & Downgrades: When upgrading your plan, new features and limits take effect immediately, with prorated charges processed through Stripe.

4. Fan Payments, Tipping & Stripe Connect

Performers can monetize their live shows by enabling paid fan song requests and digital tips through our integrated payment system.

Stripe Connect Agreement: Payment processing services for bands on BandGravy are provided by Stripe and are subject to the Stripe Connected Account Agreement. By enabling payments, you agree to be bound by Stripe's terms.

  • Platform Transaction Fees: Depending on your active subscription plan, BandGravy may deduct an application fee (e.g. $1 per paid request on Soundcheck, 5% on Green Room, or 0% on Headliner) from completed fan transactions before payouts are transferred.
  • Taxes & Payouts: You are solely responsible for reporting and paying any applicable local, state, or federal taxes on earnings received through the Platform.
  • Disputes & Refunds: Bands are responsible for handling performance fulfillment and fan disputes relating to song requests.

5. Third-Party Integrations & Google Calendar

If you connect third-party integrations (such as Google Calendar), you grant BandGravy permission to access and sync gig data on your behalf. You can disconnect or revoke third-party authorizations at any time from your Bandspace settings.

6. User Content & Intellectual Property

  • Your Content: You retain full ownership of all band names, logos, photos, song catalogs, and performance data uploaded to BandGravy. You grant BandGravy a limited, non-exclusive license to host, display, and format your content solely to operate the Platform.
  • Platform IP: BandGravy and its logos, designs, software, code, and trademarks are the exclusive property of BandGravy. You may not copy, reverse engineer, or redistribute platform code or assets.

7. Acceptable Use Policy

You agree not to use the Platform to:

  • Violate any applicable local, national, or international laws.
  • Infringe upon the intellectual property or copyright of others.
  • Transmit malicious software, viruses, or harmful code.
  • Engage in fraudulent transactions, deceptive tipping practices, or spam venue outreach.
  • Attempt to bypass rate limits, access controls, or security safeguards.

8. Disclaimer of Warranties & Limitation of Liability

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, BandGravy disclaims all warranties, express or implied. BandGravy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues resulting from your use of or inability to use the Platform.

9. Governing Law & Modifications

These Terms shall be governed by and construed in accordance with the laws of the United States. We reserve the right to modify these Terms at any time. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
